1. Agreement to Terms
Welcome to Chelotie ("we," "our," "us," or "the Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Chelotie regarding your access to and use of our payments platform, including all features for sending, receiving, and managing payments.
Please read these Terms carefully before using our Platform. By accessing, using, or registering for Chelotie, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Platform.
2. Description of Service
Chelotie is a payments platform powered by stablecoin infrastructure that enables individuals and businesses to send and receive payments. The Platform provides the following services:
- Instant Transfers: Send stablecoin payments to any Chelotie user by username or to any external wallet address
- Payment Links: Generate shareable links tied to products for collecting one-time payments
- Products: Create and manage products with defined pricing, currency, and billing type
- Subscriptions: Set up recurring billing for memberships, services, or digital goods with automatic renewals
Chelotie facilitates transactions settled on blockchain networks using stablecoins. When you create an account, a smart wallet is automatically provisioned for you through our third-party wallet infrastructure provider.
3. Wallet Infrastructure and Custody
3.1 Wallet Provisioning
When you register for Chelotie, a smart wallet is automatically created and assigned to your account through our third-party wallet infrastructure provider ("Wallet Provider"). You acknowledge and agree that:
- Your wallet is created and managed by the Wallet Provider on your behalf
- The Wallet Provider holds and manages the cryptographic keys associated with your wallet
- Chelotie does not directly hold your private keys but may instruct the Wallet Provider to sign transactions on your behalf in connection with Platform services
- Your digital assets are held in a smart wallet secured by the Wallet Provider's infrastructure
3.2 Delegated Custody Model
Important: Chelotie operates a delegated custody model. Your wallet keys are managed by our Wallet Provider, and the Platform may initiate transactions on your behalf after you provide authorization (including through verification codes). This means:
- You do not directly hold or manage your private keys
- The Wallet Provider maintains custody of the keys associated with your wallet
- Chelotie acts as an authorized intermediary to instruct the Wallet Provider to execute transactions you have approved
- Your funds remain in your assigned wallet and are not pooled or commingled with other users' funds or Platform funds
- You retain beneficial ownership of the digital assets in your wallet at all times
3.3 Transaction Authorization
All transactions require your explicit authorization. The Platform uses a verification code system to confirm payment instructions. By entering a verification code, you authorize Chelotie to instruct the Wallet Provider to sign and submit the transaction on your behalf.
3.4 Sponsored Transactions
Chelotie sponsors blockchain network fees (commonly known as "gas fees") for transactions processed through the Platform. You are not required to hold native network tokens to pay gas fees. We reserve the right to modify or discontinue sponsored transactions at any time with prior notice.
3.5 Your Responsibilities
- You are responsible for the security of your Chelotie account credentials
- You are responsible for all transactions authorized from your account, including those confirmed via verification code
- You must ensure you have sufficient stablecoin balance in your wallet before initiating a transaction
- You must verify transaction details (recipient, amount, currency) before confirming
- You must not share verification codes with any third party
4. Eligibility and Account Registration
4.1 Eligibility
To use Chelotie, you must:
- Be at least 18 years old (or the age of majority in your jurisdiction)
- Have the legal capacity to enter into binding agreements
- Not be prohibited from using the Platform under applicable laws
- Comply with all applicable laws and regulations in your jurisdiction
- Not be located in, a resident of, or a national of any jurisdiction subject to comprehensive sanctions or where use of stablecoin payment services is prohibited
4.2 Account Registration
To access Platform services, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your information as necessary
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized access to your account
- Maintain only one account per individual or business entity (unless separately authorized in writing)
4.3 Account Security
You are solely responsible for:
- All activities that occur under your account, whether or not authorized by you
- Safeguarding your login credentials and verification codes
- Immediately notifying us of any suspected security breach at [Your Support Email]
- Using strong, unique passwords and enabling available security features
5. Platform Services
5.1 Instant Transfers
You may send stablecoin payments to:
- Other Chelotie users by entering their username
- Any external wallet by entering a valid wallet address
All transfers require confirmation via a verification code sent to you. Once confirmed, transactions are submitted to the blockchain and are final and irreversible. You are solely responsible for verifying the accuracy of recipient details before confirming a transfer.
5.2 Products and Payment Links
The Platform allows you to create products with defined pricing, currency, and billing type. Each product may be linked to a shareable payment link. By creating a product or payment link, you represent that:
- You have the right to offer the goods, services, or access described
- Product descriptions, pricing, and terms are accurate and not misleading
- You will fulfill any obligations associated with the product
- You comply with all applicable consumer protection and commercial laws
5.3 Subscriptions and Recurring Payments
The Platform supports recurring billing for products configured with subscription pricing. By subscribing to a product or enabling subscriptions:
- Subscribers authorize automatic recurring payments according to the billing cycle defined by the product
- Subscribers must maintain sufficient stablecoin balance for each billing cycle
- Subscriptions may be canceled at any time; cancellations take effect at the end of the current billing period
- Failed payments may result in automatic subscription suspension
- We reserve the right to suspend subscriptions for violations of these Terms
5.4 Payment Verification Process
To process a payment through a payment link, the payer must be a registered Chelotie user. The payer enters their username, receives a verification code, and confirms the payment by entering the code. This verification constitutes the payer's authorization for the transaction.
5.5 Irreversibility of Transactions
All transactions processed through the Platform are final and irreversible once submitted to the blockchain. Chelotie cannot reverse, cancel, or modify a completed transaction. You must verify all transaction details before confirming.
6. Fees
6.1 Platform Fees
Chelotie charges a transaction fee on each payment processed through the Platform:
- A base fee of $0.25 USD per transaction
- Plus 1% of the transaction amount
- Total platform fee is capped at $15.00 USD per transaction
All fees are displayed before you confirm a transaction. We reserve the right to modify our fee structure with at least 30 days' prior notice to registered users.
6.2 Network Fees
Blockchain network fees ("gas fees") for transactions processed through the Platform are currently sponsored by Chelotie. This means you are not required to pay gas fees separately. We reserve the right to modify or discontinue this sponsorship at any time with prior notice.
6.3 Refunds
- Blockchain transactions are irreversible; Chelotie cannot issue refunds for completed transactions
- Refund arrangements are solely between the sender and recipient
- Platform fees are non-refundable except where required by applicable law
- Disputes between users regarding payments should be resolved directly between the parties
7. Prohibited Uses
You agree not to use Chelotie for any of the following:
7.1 Illegal Activities
- Violating any applicable local, national, or international law or regulation
- Money laundering, terrorist financing, or the proceeds of criminal activity
- Facilitating transactions involving sanctioned persons, entities, or jurisdictions
- Tax evasion or aiding and abetting tax evasion
- Fraud, misrepresentation, or deceptive practices
7.2 Platform Abuse
- Attempting to gain unauthorized access to the Platform, other user accounts, or related systems
- Using automated bots, scripts, or scraping tools without our written authorization
- Reverse engineering, decompiling, or attempting to extract source code
- Introducing malware, viruses, or any code designed to disrupt or damage the Platform
- Deliberately overloading, flooding, or disrupting Platform infrastructure
- Circumventing or attempting to circumvent any security measures, rate limits, or access controls
7.3 User Harm
- Harassing, threatening, defaming, or abusing other users
- Impersonating any person, entity, or falsely stating your affiliation
- Collecting or harvesting user data without explicit consent
- Sending unsolicited commercial communications or spam
7.4 Financial Misconduct
- Market manipulation, wash trading, or price manipulation
- Operating pyramid schemes, Ponzi schemes, or multi-level marketing schemes
- Violating securities laws or regulations
- Using the Platform to circumvent financial regulations or capital controls
8. Intellectual Property
8.1 Our Intellectual Property
The Platform and all related content, including but not limited to:
- Platform design, user interface, logos, trademarks, and branding
- Software, source code, algorithms, and underlying technology
- Documentation, marketing materials, and written content
are the exclusive property of Chelotie or its licensors and are protected by applicable intellectual property laws. No right, title, or interest is transferred to you except for the limited license granted herein.
8.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or commercial payment needs. This license terminates immediately upon violation of these Terms or termination of your account.
8.3 Your Content
You retain ownership of content you submit to the Platform (including product descriptions, profile information, and images). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of operating and improving the Platform.
9. Risks and Disclaimers
9.1 Acknowledgment of Risks
By using the Platform, you acknowledge and accept the following risks:
- Stablecoin and cryptocurrency transactions are irreversible once submitted to the blockchain
- Blockchain networks may experience congestion, delays, forks, or outages beyond our control
- While stablecoins are designed to maintain a stable value, they may lose their peg or fluctuate in value
- Smart contract technology carries inherent risks, including potential vulnerabilities
- Regulatory changes in any jurisdiction may restrict, limit, or prohibit the use of stablecoins or the Platform
- Transactions are recorded on public blockchains and are permanently visible
- Third-party wallet infrastructure and bundler services may experience downtime or failures
9.2 No Guarantees
We do not guarantee:
- The success, timing, or finality of any transaction
- Continuous, uninterrupted, or error-free operation of the Platform
- The value, stability, or liquidity of any stablecoin
- The availability or performance of third-party services (including wallet infrastructure and blockchain networks)
- That sponsored gas fee coverage will continue indefinitely
9.3 Assumption of Risk
You use Chelotie and engage in stablecoin transactions at your own risk. Chelotie shall not be liable for:
- Losses arising from incorrect recipient information (username or wallet address)
- Losses arising from blockchain network failures, delays, or congestion
- Losses arising from stablecoin de-pegging or value fluctuation
- Losses arising from unauthorized access to your account due to your failure to safeguard credentials
- Losses arising from fraud, phishing, or social engineering attacks targeting you
- Losses arising from third-party wallet infrastructure or bundler service failures
10. Limitation of Liability
10.1 Service Provided "As Is"
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CHELOTIE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND UNINTERRUPTED OPERATION.
10.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- Chelotie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill
- Our total aggregate liability for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the total platform fees you paid to Chelotie in the twelve (12) months immediately preceding the event giving rise to the claim
- We are not liable for any losses resulting from blockchain network issues, third-party service failures, user error, force majeure events, or regulatory actions
11. Indemnification
You agree to indemnify, defend, and hold harmless Chelotie, its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or access to the Platform
- Your breach of these Terms or any applicable law
- Your violation of any third-party right, including intellectual property or privacy rights
- Any transactions you initiate, authorize, or participate in through the Platform
- Any content you submit to the Platform
- Any dispute between you and another user
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute proceeding, you agree to:
- Contact us at [Your Support Email] to attempt to resolve the dispute informally
- Allow a minimum of thirty (30) days for good-faith negotiation before pursuing other remedies
12.2 Binding Arbitration
If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration in accordance with the rules of [Arbitration Body]. You agree that:
- Arbitration shall be conducted on an individual basis
- You waive any right to participate in a class action, class arbitration, or representative proceeding (to the extent permitted by law)
- The arbitrator's decision shall be final and binding
12.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions. To the extent that arbitration is not applicable, exclusive jurisdiction and venue shall lie in the courts of [Your Jurisdiction].
13. Termination
13.1 Termination by You
You may close your account at any time by:
- Requesting account deletion through your account settings or by contacting support
- Withdrawing any remaining stablecoin balance from your wallet before closure
- Active subscriptions (both as subscriber and as recipient) will be terminated upon account closure
13.2 Termination by Us
We may suspend or terminate your access to the Platform immediately, with or without notice, if:
- You breach any provision of these Terms
- You engage in prohibited activities as described in Section 7
- We are required to do so by law, regulation, or government authority
- Your account activity poses a risk to Platform integrity, other users, or our service providers
- We reasonably suspect fraudulent activity on your account
13.3 Effect of Termination
Upon termination:
- Your license to use the Platform terminates immediately
- Pending transactions that have been submitted to the blockchain will still be processed
- You remain responsible for any obligations incurred prior to termination
- Sections relating to intellectual property, limitation of liability, indemnification, and dispute resolution survive termination
14. Modifications to Terms
We reserve the right to modify these Terms at any time. When we do, we will:
- Post the updated Terms on the Platform with a revised "Last Updated" date
- Notify you of material changes via email or prominent Platform notice at least 15 days before the changes take effect
- Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms
If you do not agree to the modified Terms, you must discontinue use of the Platform and close your account before the effective date.
15. Compliance and Regulatory
15.1 Your Compliance Obligations
You are solely responsible for:
- Complying with all applicable laws and regulations in your jurisdiction, including tax, financial, and consumer protection laws
- Determining whether your use of the Platform requires any licenses, permits, or registrations
- Reporting and paying any taxes arising from transactions conducted through the Platform
- Complying with applicable anti-money laundering (AML) and sanctions requirements
15.2 Regulatory Changes
- Stablecoin and digital asset regulations are evolving across jurisdictions
- We may modify, restrict, or discontinue Platform services to comply with applicable laws and regulations
- We may restrict access to the Platform in certain jurisdictions without prior notice where required by law
- We shall not be liable for any losses arising from regulatory changes affecting your ability to use the Platform
16. Third-Party Services
The Platform relies on third-party services including, but not limited to, wallet infrastructure providers, blockchain networks, and transaction bundler services. You acknowledge that:
- Third-party services are subject to their own terms and conditions
- We are not responsible for the availability, security, or performance of third-party services
- Disruptions or failures of third-party services may impact your ability to use the Platform
- We make no warranties regarding third-party services
17. Privacy
Your use of Chelotie is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, store, and protect your information.
18. General Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Chelotie regarding your use of the Platform and supersede all prior agreements, understandings, and representations.
18.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
18.3 Waiver
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19. Acknowledgment
By using Chelotie, you acknowledge that:
- You have read, understood, and agree to be bound by these Terms
- You understand that the Platform uses stablecoin and blockchain infrastructure to process payments
- You understand the delegated custody model described in Section 3 and consent to the Wallet Provider managing your wallet keys
- You understand that all transactions are final and irreversible once submitted to the blockchain
- You understand the risks associated with stablecoins, blockchain technology, and digital payments
- You are solely responsible for your account security and for verifying transaction details before confirmation
